Terms

Terms of service

Last updated 19 October 2026. This document is a draft prepared for the site owner and has not been reviewed by a lawyer. Items in [yellow brackets] must be completed before launch.

This website (rankpilot.solutions) and the "rankpilot" service are operated by Detrix Digital (detrixdigital.com), legal entity: [full legal name and entity type of the contracting company, to be added by the owner]. In this document "we", "us" and "our" mean that company. "You" means the person or organisation using the website or buying our services.

Registered address: [registered business address, to be added by the owner]. General contact: [email, to be added by the owner].

Please read these Terms of Service ("Terms") carefully. By using the website, requesting an audit, or entering into an engagement with us, you agree to them. If you are accepting on behalf of an organisation, you confirm you have authority to bind it. If you do not agree, do not use the website or our services.

1. Definitions

  • Services means the answer engine optimization (AEO), search engine optimization (SEO), AI visibility tracking, reporting, audit and related consulting services we agree to provide.
  • Engagement Documents means the proposal, statement of work, order form, invoice or email thread in which we and you agree the scope, deliverables, fees and term of the Services.
  • Third-Party Platforms means search engines, AI assistants and answer engines (for example Google, Bing, ChatGPT, Gemini, Perplexity, Claude, Copilot), social networks, directories, analytics and other services we do not own or control.
  • Client Materials means the websites, content, data, credentials, accounts and other materials you give us or give us access to.
  • Deliverables means reports, audits, recommendations, content, code and other work product we create for you under an Engagement Document.

2. How these Terms and the Engagement Documents fit together

These Terms apply to the website and to every engagement. Each engagement is formed only when you and we both accept an Engagement Document, or when you pay an invoice or ask us to start work after receiving one. If an Engagement Document expressly says it overrides a specific clause of these Terms, it prevails for that clause and engagement only. Otherwise these Terms prevail. A free audit is a courtesy and does not create a paid engagement or any obligation to continue.

3. The Services

We will perform the Services with reasonable skill and care, using recognised industry practice, and will comply with applicable law in doing so. We decide how to perform the Services, the order of tasks and the tools we use, unless the Engagement Document says otherwise. Estimates of time or effort are good-faith estimates, not commitments. Anything outside the agreed scope is a change request and may be charged separately; we will not start out-of-scope work without your written approval.

4. No guarantee of results

This clause is central to our relationship. Please read it closely.

  1. No guaranteed outcomes. We do not promise, warrant or guarantee any particular outcome from the Services. This includes, without limitation: (a) any ranking, position, impression share or visibility in Google, Bing or any other search engine; (b) any mention, citation, link, recommendation, summary or description of you or your business by ChatGPT, Gemini, Perplexity, Claude, Copilot, Google AI Overviews, AI Mode or any other AI assistant or answer engine; (c) any amount of traffic, clicks, calls, form fills, bookings or leads; (d) any revenue, sales, profit, return on investment or cost saving; (e) any timeframe in which any of the above will occur; and (f) that any result will be maintained once achieved.
  2. Why. Third-Party Platforms are operated by other companies. They decide what to show, to whom and in what order, using systems that are opaque, change without notice and, for AI assistants, may give different answers to the same question on different occasions. Neither we nor anyone else controls them. Anyone who guarantees a ranking or an AI recommendation is either mistaken or not being truthful.
  3. What we do commit to. We commit to performing the agreed work with reasonable skill and care, measuring and reporting results honestly, and telling you plainly when something has not worked. Our fees pay for work and expertise, not for an outcome.
  4. Not a ground for withholding payment. A result that is lower than you hoped or expected, a ranking change, an algorithm or model update, or a change by a Third-Party Platform is not, by itself, a breach of these Terms and does not entitle you to withhold or reclaim fees. Section 12 and our Refund and cancellation policy set out what happens if we fail to deliver agreed work.
  5. Statistics and examples. Studies, benchmarks and examples on this website or in our materials describe other people's data, markets and time periods. They are not predictions about your business. See our Disclaimer.
  6. No reliance. You confirm that you have not relied on any statement, forecast or promise about results that is not written in the Engagement Document, and that no sales conversation, case study or marketing page is such a promise.

5. Your responsibilities

You will: (a) give us accurate and complete information and timely access to Client Materials, including website, content management system, Google Search Console, Google Analytics, Google Business Profile and similar accounts; (b) respond to our reasonable requests promptly, because delay on your side can delay or reduce results; (c) approve or reject Deliverables within a reasonable time; (d) keep your credentials secure and tell us promptly if access should be revoked; (e) make any content, product, price and legal claim on your own website your own responsibility, including that it is true, lawful and substantiated; and (f) hold all licences, consents and rights needed for us to use Client Materials to perform the Services.

You are responsible for implementing any recommendation we give you that is outside the agreed scope of work. If you or a third party change your website, hosting, redirects, tracking or content in a way that undermines our work, we are not responsible for the consequences.

6. Acceptable use and search-engine guidelines

We use methods that follow the published guidelines of the relevant Third-Party Platforms. We will not knowingly engage in spam, link schemes, cloaking, hidden text, fake reviews or testimonials, deceptive structured data, automated abuse of AI systems, or any practice intended to mislead people or platforms. You agree not to ask us to do so. If you do, or if you insist on a tactic we advise against, we may decline it, and we are not liable for penalties, de-indexing or loss of visibility that results from tactics you choose or insist on. You must not use the website or Services for anything unlawful, to infringe anyone's rights, to send malware, to probe or disrupt our systems, or to scrape the website at a rate or in a manner that harms it.

7. Fees, invoicing and payment

  1. Fees, billing frequency and currency are set in the Engagement Document. Prices on this website are indicative until confirmed in an Engagement Document and may change for new engagements.
  2. Unless the Engagement Document says otherwise, invoices are payable within [payment term in days, to be confirmed by the owner, for example 7 or 14] days of the invoice date in the invoiced currency, by the payment methods listed on the invoice.
  3. Fees are exclusive of taxes, duties, levies and bank or payment-processor charges, unless stated otherwise. You are responsible for sales tax, VAT, GST, consumption tax or similar charges that apply to the Services in your jurisdiction, and for any withholding tax obligation. Where you are required to withhold tax, you will gross up the payment unless the law forbids it, and give us the certificate of withholding. Where a reverse-charge mechanism applies, you will account for the tax. We will state any tax we charge on the invoice.
  4. Third-party costs (for example software licences, data subscriptions, advertising spend, paid links or content licences) are not included unless stated, and require your prior approval.
  5. If an invoice is overdue we may, after written notice, pause the Services until it is paid and charge interest on the overdue amount at the lower of 1% per month and the highest rate the law allows, and recover reasonable collection costs. Pausing the Services does not extend the term or entitle you to a refund.
  6. Disputes about an invoice must be raised in writing, with reasons, within 14 days of the invoice date. You must pay the undisputed part on time.

8. Intellectual property

Your materials. As between us, you own your Client Materials. You give us a non-exclusive, worldwide licence to use them for the period of the engagement solely to perform the Services.

Deliverables. When you have paid for them in full, you receive a non-exclusive, perpetual, worldwide, royalty-free licence to use the Deliverables for your own business purposes. Where the Engagement Document says content we write is to be owned by you, ownership transfers on full payment, except for our Pre-Existing Materials.

Our materials. We keep all rights in our methods, processes, prompt sets, templates, scoring models, tools, software, know-how, and in anything we created before or independently of your engagement ("Pre-Existing Materials"), and in this website and its content, design and trademarks. Nothing in these Terms transfers them to you, and you must not copy, resell or reverse-engineer them.

AI-assisted work. We may use AI tools in research, analysis and drafting. We review work product before delivery and remain responsible for it to you. Because the law on copyright in AI-generated material is unsettled in many countries, we do not warrant that any portion of a Deliverable generated with AI assistance is protectable by copyright. We will not put your confidential information into any AI tool that uses it to train models available to others.

Feedback. If you give us suggestions about our Services, we may use them freely.

Portfolio. We may name you as a client and describe the work in general terms unless you tell us in writing not to. We will not publish your results, numbers or testimonial without your written approval.

9. Confidentiality

Each side will keep the other's non-public business information, which it receives in connection with the Services, confidential, use it only for the engagement, and disclose it only to personnel, contractors and advisers who need it and are bound by similar duties. This does not cover information that is or becomes public through no fault of the recipient, was already known or independently developed, or is lawfully received from a third party. A party may disclose information if the law, a court or a regulator requires, giving the other prompt notice where lawful. These duties last for three years after the engagement ends, and for as long as the information remains a trade secret.

10. Personal data

Our handling of personal data collected through this website is described in our Privacy policy. Where we process personal data on your behalf while performing the Services, our Data processing terms apply and form part of these Terms.

11. Third-party platforms, tools and links

The Services depend on Third-Party Platforms and tools. We do not control their availability, accuracy, pricing, terms or policies, and we are not responsible for their acts or omissions, outages, policy changes or the accuracy of the data they provide. AI assistants may produce inaccurate or inconsistent output, so the data from AI visibility tracking is a sample taken at a point in time, not a complete or permanent record. Links to other websites are provided for convenience only.

12. Warranty disclaimer and remedy for non-delivery

Except as expressly stated in these Terms, the website and the Services are provided "as is" and "as available". To the fullest extent permitted by law we disclaim all other warranties, conditions and terms, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranty arising from course of dealing or usage of trade. We do not warrant that the website will be uninterrupted or error-free, or that Deliverables will meet your requirements or achieve any result.

If we fail to perform agreed Services in line with section 3, tell us in writing within 30 days of the delivery or the end of the month concerned. We will re-perform the affected work at no charge within a reasonable time, and if we cannot, we will refund the fees paid for that work. This is your exclusive remedy for non-performance, to the extent the law allows.

13. Limitation of liability

  1. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for wilful misconduct.
  2. Subject to item 1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: (a) loss of profit, revenue, sales, business, contracts, goodwill, anticipated savings or data; (b) loss arising from changes made by a Third-Party Platform, including ranking, indexing or AI-output changes, or penalties imposed by one; or (c) any indirect, incidental, special, consequential, exemplary or punitive loss, even if we were told it was possible.
  3. Subject to item 1, our total aggregate liability arising out of or in connection with an engagement or these Terms will not exceed the fees you paid us for the Services giving rise to the claim in the [liability cap period, to be confirmed by the owner, typically 3 or 12] months before the event that gave rise to the claim.
  4. These limits are a fair allocation of risk that is reflected in our fees. They apply to the maximum extent the law allows, including where a remedy fails of its essential purpose.
  5. If you are a consumer with mandatory rights under the law of your country, those rights are not affected. Our Services are intended for businesses and not for personal, family or household purposes.

14. Indemnity

You will defend and indemnify us, our owners, personnel and contractors against third-party claims, and resulting losses, damages, fines and reasonable legal costs, arising from: (a) Client Materials or your website content, including claims that they are unlawful, misleading, defamatory or infringe rights; (b) your breach of section 5 or 6; or (c) your use of the Deliverables in breach of law. We will give you prompt notice, reasonable help at your cost, and sole control of the defence, except that we may take part with our own counsel at our own cost and you may not settle a claim in a way that admits fault on our behalf without our consent.

15. Term, suspension and termination

  1. An engagement starts on the date in the Engagement Document and runs for its stated term. Ongoing monthly engagements renew monthly until ended under this section, unless the Engagement Document says otherwise.
  2. Either party may end an ongoing engagement for convenience by giving at least 30 days' written notice, which may be given by email, with effect at the end of the billing month in which the notice period ends, unless the Engagement Document says otherwise.
  3. Either party may end an engagement immediately by written notice if the other commits a material breach and, where it can be remedied, does not do so within 14 days of notice; or becomes insolvent, enters bankruptcy, administration or liquidation, or ceases to carry on business.
  4. We may suspend or end the Services immediately if you use them unlawfully, ask us to use prohibited methods, or are abusive to our team.
  5. On ending: you will pay all fees for work done up to the end date; we will give you the Deliverables for which you have paid; each side will return or delete the other's confidential information, subject to legal retention duties; and you will revoke our access to your accounts. Sections that by nature should survive (including 4, 7, 8, 9, 12, 13, 14, 17 and 18) will survive.

16. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, terrorism, civil unrest, government action, power or internet failure, labour disputes of third parties, or failure or change of a Third-Party Platform. The affected party will tell the other promptly and use reasonable efforts to resume. This does not excuse a payment obligation for work already done.

17. Governing law and dispute resolution

  1. These Terms and any dispute arising out of or in connection with them or an engagement (including non-contractual disputes) are governed by [governing law, to be selected by the owner on legal advice, for example the laws of a US state or of the owner's home country], without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
  2. The parties will first try in good faith to resolve a dispute by written notice and discussion between senior representatives for 30 days.
  3. If the dispute is not resolved, it will be finally resolved by [courts or arbitration seat and rules, to be selected by the owner on legal advice]. Either party may seek urgent injunctive relief from any competent court to protect confidential information or intellectual property.
  4. To the extent the law allows, each party waives any right to a jury trial and to bring or take part in a class, collective or representative action against the other in relation to the Services. Nothing here takes away a consumer's mandatory right to bring a claim in their home courts, or the right of any person to complain to a regulator.

18. General

  • Entire agreement. These Terms and the Engagement Documents are the whole agreement and replace earlier discussions and proposals on the same subject.
  • Changes. We may update these Terms. The version published here on the date you request an audit or sign an Engagement Document applies to that engagement. For ongoing engagements, we will give at least 30 days' notice of material changes, and you may end the engagement under section 15 if you do not agree.
  • Notices. Notices to us must be sent by email to [notice email, to be added by the owner] and to our registered address. We may send notices to the email address you gave us.
  • Assignment and subcontracting. You may not assign these Terms without our written consent. We may use subcontractors and remain responsible for their work.
  • Independent contractors. The parties are independent. Nothing creates a partnership, joint venture, agency or employment relationship.
  • Severability and waiver. If a provision is unenforceable, it will be limited to the minimum extent needed and the rest stays in force. Failing to enforce a right is not a waiver.
  • Export and sanctions. You confirm you are not subject to sanctions that would make the Services unlawful, and you will not use the Services in breach of applicable export, sanctions or anti-bribery laws.
  • Third-party rights. No one other than the parties may enforce these Terms.
  • Language. These Terms are written in English. Any translation is for convenience, and the English version prevails.
  • Electronic signature and records. Electronic acceptance, including by email or clicking accept, is binding.
